CONTRACT FOR THE LEASE OF INTEGRAL MAINTENANCE, GARDENING AND CLEANING SERVICES IN A HOMEOWNERS’ ASSOCIATION
In Manilva, on 9 April 2026
MEETING
On one side, the Homeowners’ Association GUADALUPE HILLS, with Tax ID No. H92935626 and registered address at Avd. Las Mismosas, Manilva, 29689, Málaga; represented in this act by its president Mr. PETER WOOD with NIE X7849855R, hereinafter «THE COMMUNITY».
And on the other side, the commercial company HUMAN CONTROL SERVICIOS AUXILIARES S.L. with Tax ID No. B72817729, and registered address at C/ AVDA. DE ESPAÑA 2A (San Luis de Sabinillas), Manilva, email humancontrolauxiliares@gmail.com and telephone 611441906, represented by Mr. Abraham Marín Galván with ID No. 75763755-F in his capacity as administrator thereof, hereinafter «THE COMPANY».
Both parties acknowledge that they have the necessary legal capacity to formalise this contract, and to this effect:
THEY STATE
- That THE HOMEOWNERS’ ASSOCIATION is interested in contracting integral maintenance and gardening of the communal areas.
- That THE COMPANY has the necessary material and human means for the provision of said services and declares its full technical and legal capacity to do so.
By virtue of the foregoing, both parties agree to sign this service provision contract, which shall be governed by the following:
CLAUSES
FIRST. Object of the contract. This contract has as its object the provision of integral maintenance and gardening services of the communal areas of the Guadalupe Hills Homeowners’ Association in accordance with ANNEX I attached hereto and with the following specifications:
Fertilisers:
Fertilisers are not included in the budget provided by the maintenance company. They are borne by the Homeowners’ Association.
Palm Tree Pruning:
Palm tree pruning, being work at height, requires specific qualifications. It is not included in the company’s services. It shall be borne by the homeowners’ association.
Emergency service (electricity and others):
- The maintenance company indicates that immediate attention to electrical breakdowns is not included in the base budget.
- However, they can provide the service as an extra, billed by the hour.

It is clarified that this criterion shall also apply to other emergencies:
- Pipe bursts
- Irrigation problems
- Unforeseen breakdowns in installations
It is noted that many complex electrical incidents (buried wiring, internal connections) require external specialists.
Rates for extraordinary services:
Weekdays (end of day until 20:00):
- €21/hour or fraction thereof, per person.
Weekends (08:00 – 20:00):
- €60/hour or fraction thereof, per person.
Inspection and cleaning of drains:
It is clarified that the relevant clause of the contract refers to:
- Cleaning of grates
- Removal of leaves and debris
- Prevention of flooding in critical areas
Repair of flooring (tiles):
The budget does not include general flooring repairs.
They accept:
- Occasional repairs (specific units)
They do NOT accept:
- Large-scale repairs or complete renovation
Nevertheless, the preventive measures requested shall be carried out to prevent the flooring from continuing to lift, and the flooring in front of the blocks shall be repaired little by little throughout the financial year (materials to be borne by the community).
Machinery (tractor). The tractor must be delivered by the community in good condition. Subsequent maintenance and fuel costs shall be borne by the company.
Pool analysis. Daily pool analyses are included in the budget. The maintenance company will use its own photometer.

SECOND. Duration and schedule. The contract shall have an initial duration of one year, commencing on 13/04/2026 and ending on 13/04/2027, and may be renewed automatically unless either party gives 30 days’ prior notice.
The service shall be provided from Monday to Friday, with the working day distributed as follows:
- Winter: 25 hours per week; 5 hours per day from 09:00 to 14:00.
- Summer: 35 hours per week; 7 hours per day from 08:00 to 15:00.
THIRD. Price and payment method. The total price for the provision of services shall be TWO THOUSAND SIX HUNDRED SIXTY-TWO EUROS (€2,662) PER MONTH, VAT included.
Payment shall be made by bank transfer to the account designated by THE COMPANY, within the first ten (10) calendar days of each month, following the issuance of the corresponding invoice.
FOURTH. Address and notification details. For all purposes arising from this contract, the parties designate as valid addresses for serving notifications those indicated in the heading of this contract. The parties undertake to reliably communicate any change of address or email address within a maximum of 3 days from when it occurs. Otherwise, notifications made to the initially designated addresses shall be considered fully valid.
FIFTH. General conditions and observations
- All materials and components necessary for maintenance, improvement or adaptation shall be borne by the community.
- The community may open an account at a supply store.
- The company shall make available to the community vehicles, qualified technical personnel and all necessary tools for the execution of the work.
SIXTH. Personnel assigned by THE COMPANY shall depend exclusively on the latter, assuming all legal obligations in labour, Social Security and occupational risk prevention matters, without any employment relationship existing with THE COMMUNITY.
SEVENTH. Liability and insurance. THE COMPANY shall be liable for damages it may cause in the performance of its functions and shall maintain a valid civil liability insurance policy covering said risks, and must prove its existence to THE COMMUNITY.
EIGHTH. Termination of contract. Either party may terminate this contract for serious breach of the established obligations, prior reliable notice with a minimum period of 15 days.

2. POINTS DISCUSSED
2.1 Fertilisers

2.6. Machinery (tractor)
Proposed agreement:
- The community must deliver the tractor in good condition.
- The company will be responsible for subsequent maintenance.
- Fuel costs shall be borne by the company.
2.7. State of the garden and necessary resources
It is indicated that the current state of the garden requires:
- Intensive initial intervention.
- The vegetation is very overgrown and the hedges are very tall due to accumulated work.
Limitations:
A single worker is not sufficient for an optimal immediate result and also poses a risk.
Proposal: Temporary addition of an additional worker.
Cost: €1,200/month + VAT
2.8. Daily pool analyses are included in the budget.
The maintenance company will use its own photometer. They will not use the Community’s photometer.
The laboratory for pool water analysis will be contracted by the community.
ANNEX 2
Scope of Service – General Maintenance, Gardening and Pool
Weekly activity/time schedules for gardening, pool and general maintenance for each month to be agreed in advance. More time to be allocated to gardening in summer months and maintenance in winter months, with staff allocated accordingly.
Working hours (subject to change with agreement):
- 7 hours per day – 6 months summer season
- 5 hours per day – 6 months winter season
Gardening
- Personnel and Working Hours: Maintenance services will be carried out by a qualified gardener, who will work the contracted hours year-round. The team should be fully qualified and certified in health, safety, and plant protection practices, guaranteeing compliance with safety regulations.
- Equipment Included: The company provides the necessary materials and appropriate tools/machinery to carry out the gardening work. Community to provide sit-on tractor/mower in good condition. Company responsible for ongoing maintenance and fuel costs.
- On-site supervision and project coordination: Regular visits from company supervisor and weekly plan produced to ensure consistent work quality. Monthly check-ins along with a designated committee member to review and plan ongoing and future projects. These meetings will be scheduled in advance.
- Routine exterior cleaning: Regular cleaning of exterior areas will be carried out, including litter collection within garden spaces, to maintain overall cleanliness.
- Fuel costs: Fuel for company machinery to be included in the proposal.
- Additional material expenses: Any additional materials for garden improvements, such as flowers, plants, soil, or sand, will require prior approval from the community. Once approved, these materials will be purchased, and the costs will be covered by the community.
Annual Gardening Work Plan to include:
- Pruning Trees and Shrubs
- Irrigation system maintenance and repair
- Lawn Mowing
- Lawn treatment with herbicides

- Hedge Trimming Inside and Outside the Community
- Garden Area Cleaning and Maintenance
- Regular cleaning of shaded areas with removal of green mould
- Daily Plant Maintenance
- Herbicide application to pathways and common areas
SWIMMING POOL
Seasonal Staffing and Schedule
The swimming pool maintenance service to be carried out by a certified swimming pool maintenance technician who is fully trained in the maintenance of swimming pool equipment and the regulatory requirements for public swimming pools.
Summer Season (May to October) – During the peak swimming season, maintenance is carried out daily, Monday to Friday, to ensure that the pools are constantly monitored and maintained at optimal standards.
Winter Season (November to April) – subject to pool closures – During the off-season, maintenance to be performed twice a week, on Mondays and Fridays.
Water Quality Testing and Chemical Balance
Daily pH and Chlorine Testing – The pool’s pH and chlorine levels will be tested regularly, ensuring that chlorine and pH levels are within the safe range recommended by public health guidelines. Throughout the entire period the pool is open. The maintenance company will use its own photometer.
External Laboratory Water Analysis – To be arranged and paid for by the Community directly.
Pool Routine Cleaning and Maintenance Tasks
Sweeping and Debris Removal – The pool bottom to be swept to remove dirt, debris, and any organic material that may accumulate. This includes removing floating items and visible fungal growth to maintain a pristine pool environment.
Skimmer and Sand Filter Cleaning – Skimmers to be cleaned of debris, and sand filters will be cleaned and backwashed as needed, depending on the season and pool usage.
Equipment Inspections – The technician to regularly inspect the motors, pumps, and other pool equipment to identify any signs of wear, leaks, or functional problems. Advise the Community immediately if any element is not working correctly.

Chlorine and pH Adjustments – Based on the results of periodic tests, chlorine and pH levels to be adjusted as needed to maintain a balanced and safe swimming environment. The machines must always operate in automatic mode, and the maintenance person must verify with a photometer that the parameters between the machines and the pool water match.
Pool Seasonal Preparations and Additional Tasks
Pool Area Cleaning Before the Summer Season – Before the start of the summer season in May, the surfaces around the pool to be cleaned and pressure washed by the general maintenance staff.
Sunbed Cleaning
In May, all sunbeds to undergo a thorough cleaning process, including degreasing and disinfection, to ensure they are hygienic and comfortable to use. An additional cleaning will be carried out in mid-summer to maintain cleanliness throughout the high-traffic season.
Receipt Management
All receipts for materials and products financed by the community, such as chemicals or cleaning supplies, will be systematically recorded and filed. This practice allows for accurate tracking of expenses and provides transparency to the community regarding costs incurred.
Compliance with Current Legislation
In the event of new legislation affecting the management of community swimming pools, the Company will promptly inform the Community. This includes any changes to health and safety standards, water treatment protocols, or usage guidelines that may affect daily operations or require adjustments to existing practices.
General Maintenance
General Electrical Maintenance
Ensuring the reliability of the electrical infrastructure within the community is paramount. The proposed services include:
- Routine replacement of light bulbs and fixtures: Periodic inspections and replacement of indoor and outdoor light bulbs to maintain adequate lighting and safety.
- Inspections of switches and timers: Verification and repair or replacement of faulty light switches, timers, and automated controls to prevent electrical hazards and ensure functionality.
- Routine inspection of pressure set.
Emergency services (electricity and others)
Immediate attention to out-of-hours electrical breakdowns is not included in the base budget. Out-of-hours services to be billed as an extra.

Drains Cleaning and Maintenance
Seasonal drain cleaning: Removal of debris such as leaves, dirt, and other obstructions from grates to facilitate proper water drainage and prevent overflows or structural damage.
Inspections: Periodic checks for any damage or wear to the drainage system to ensure timely repairs and extend its lifespan.
Complete renovation of the drainage system is not included.
Tile Repairs
Preventive Measures: Application of sealants or waterproofing solutions to strengthen vulnerable areas when necessary, replacing specific isolated floor tiles throughout the community when required. Materials to be provided by the community.
Minor structural and general repairs
Ensuring that all visible elements remain intact and functional contributes to the overall quality of the community. Services include:
- Small-scale inspections and repairs in shared areas such as garage, stairwells, and community rooms to maintain all common areas.
- Repainting: Addressing surface damage, such as scratched walls or peeling paint, to keep common areas and metalwork presentable.
- Minor building works, including minor metalwork, masonry repairs. Specialist services such as welding not included.
- Maintenance of on-site communal water systems (e.g., pool toilets, showers)
Implementation and Scheduling
The maintenance plan will be agreed in advance and scheduled to minimise noise disturbances to residents, ideally during their rest periods. Weekly updates to be sent to the Community. Monthly reviews to be conducted to assess any additional needs or adjustments required to the maintenance routine.
